1. About these terms
These Terms of Service ("Terms") are a legal agreement between you and Adis Limited, a company registered in England and Wales (company number 06363895), whose registered office is at 6A Thirlmere Road, London, N10 2DN, United Kingdom ("Mend", "we", "us", "our").
They govern your use of the Mend service at mendchat.com and any related applications (the "Service").
By starting a trial, making a purchase, or using the Service, you accept these Terms. If you do not accept them, do not use the Service.
Please also read our Privacy Policy, which forms part of your agreement with us.
2. What Mend is — and what it is not
Mend is a private messaging tool that uses AI to help two people communicate. It softens the delivery of messages and offers coaching suggestions, within a private room that is not retained after it is closed.
Mend is not, and must not be relied upon as:
- a medical, psychological, psychiatric, or therapeutic service. It does not diagnose, treat, or provide health care, and it is not a substitute for professional help;
- a crisis or emergency service. It is not monitored in real time and must not be used to seek urgent help;
- a counselling, mediation, or legal service; or
- a provider of legal, financial, or professional advice.
If you or someone else is in crisis or in danger, do not use Mend. In the UK, call 999 in an emergency, call the Samaritans free on 116 123 at any time, or contact your GP or NHS 111.
You remain responsible for your own words, decisions, and actions. The AI features are assistive only.
3. The AI features and their limitations
You understand and accept that:
- the softening and coaching features are powered by automated AI systems and may be inaccurate, incomplete, or unsuitable in any given situation;
- AI may misinterpret tone or meaning, and a softened message may not perfectly reflect your intention;
- you are responsible for reviewing what you send, and you decide what is sent; and
- Mend does not guarantee any particular outcome, resolution, or result from using the Service.
4. Eligibility and use by under-18s
- You must be 18 or over to create access to the Service and to accept these Terms on your own behalf.
- A person under 18 may use the Service only where a parent or legal guardian has set up access, provided verifiable consent, and agreed to these Terms on the young person's behalf, and remains responsible for that use.
- By providing consent for a young person, you confirm you are their parent or legal guardian and accept responsibility for their use of the Service.
- We may refuse, suspend, or terminate access where we reasonably believe these requirements are not met. (See review notes L-1 and L-2.)
5. How access works
- Mend uses magic links rather than passwords. You are responsible for keeping access to your email account secure, and for any use of the Service via links sent to your email.
- A room may be used by two participants. The person who opens a room invites the other by link.
- Do not share access with anyone you do not intend to communicate with through the Service.
6. Acceptable use
You agree that you will not, and will not allow anyone else to:
- use the Service for any unlawful, harmful, harassing, abusive, threatening, or fraudulent purpose;
- use the Service to abuse, coerce, control, stalk, or manipulate another person;
- transmit content that is illegal, including any content that sexualises or exploits a child;
- impersonate another person or misrepresent who you are communicating with;
- attempt to access, store, or reconstruct conversations that have been closed;
- probe, scan, or attempt to breach the security of the Service, or interfere with its operation;
- use automated means to access the Service except as expressly permitted; or
- reverse engineer, copy, or attempt to extract the underlying models or software, except to the extent this restriction is prohibited by law.
We take safeguarding seriously. We do not tolerate any use of the Service to harm a child or any other person, and we may report unlawful conduct to the relevant authorities.
We may suspend or terminate access immediately if we reasonably believe these Terms have been breached.
7. The ephemeral nature of the Service
A central feature of Mend is that conversations are not retained. When a room is closed, the conversation content is deleted and cannot be recovered by you, the other participant, or us.
You accept that:
- it is your responsibility to download any optional next-steps summary before closing a room, if you wish to keep it; and
- we are not liable for the loss of any conversation content or summary that was not saved by you before a room was closed, and the ephemeral design is a feature you are choosing.
8. Plans, trials, gifts and payment
8.1 Plans
We offer a free trial period and paid plans (for example a 7-day pass, monthly, and annual passes), and gift passes. Each is a one-off purchase, not a recurring subscription. The plans, prices, and features available are shown at mendchat.com at the time of purchase. Prices include VAT where applicable.
8.2 Free trial
Your free trial begins when you start it and lasts for the stated period. We may limit eligibility for trials and withdraw or change trial offers.
8.3 Payment
Payment is taken via our third-party payment provider Stripe. You authorise us and our provider to charge the applicable fees.
8.4 No recurring payments
Mend does not operate recurring subscriptions or auto-renewing plans. Each pass or plan is a one-off purchase for the stated access period. We will not charge you again automatically; if you want continued access after a plan ends, you make a new purchase. We may, where permitted, retain a payment reference to make repeat purchases easier, but no charge is taken without a new purchase by you.
8.5 Gift passes
A gift pass may be purchased for another person. The recipient must meet the eligibility requirements in section 4. Gift passes are a one-off purchase and are non-refundable once redeemed or after for 2 months.
9. Your right to cancel (consumers)
If you are a consumer in the UK, you normally have a legal right to cancel a purchase of digital services within 14 days of buying it, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
Important: if you ask us to begin providing the Service during the 14-day period (for example by starting to use a room immediately), you agree that:
- we may begin the Service straight away; and
- you lose the right to cancel once the Service has been fully performed, and you may be charged for what you have used if you cancel after it has begun.
Nothing in these Terms affects your statutory rights as a consumer, including under the Consumer Rights Act 2015. To cancel, contact us at legal@mendchat.com.
10. Refunds
Except where you have a legal right to a refund (for example under your statutory consumer rights, or where the Service is faulty or not as described), fees are non-refundable. If something has gone wrong, contact us — we want to put it right.
11. Intellectual property
- The Service, including its software, models, design, text, and branding (including the name "Mend"), is owned by or licensed to Adis Limited and is protected by intellectual property laws.
- We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose, in accordance with these Terms.
- You may use any next-steps summary you generate for your own personal purposes.
12. Your content
- You retain ownership of the content you create.
- You grant us a limited licence to process your content only as needed to provide the Service to you (for example, to soften and deliver messages and provide coaching), as described in our Privacy Policy.
- This licence ends in respect of conversation content when the room is closed and the content is deleted.
13. Availability
We aim to keep the Service available, but we do not guarantee it will be uninterrupted, error-free, or always available. We may suspend the Service for maintenance, updates, or for reasons outside our reasonable control, and we may change or withdraw features.
14. Disclaimers
To the fullest extent permitted by law, and subject to section 15:
- the Service is provided "as is" and "as available";
- we do not warrant that the Service will meet your requirements, achieve any particular outcome, or that AI outputs will be accurate or suitable; and
- we exclude all implied terms, except those that cannot be excluded by law (including the statutory rights of consumers under the Consumer Rights Act 2015).
15. Our liability
Nothing in these Terms limits or excludes our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation;
- any liability that cannot be limited or excluded under applicable law, including your statutory rights if you are a consumer.
Subject to that:
- we are not liable for any loss or damage that is not reasonably foreseeable, or that arises from your misuse of the Service, your own decisions or words, the actions of the other participant, or your failure to save a summary before closing a room;
- we are not liable for indirect or consequential loss, loss of profit, loss of opportunity, or loss of goodwill (where you are acting as a business); and
- our total liability to you arising out of or in connection with the Service and these Terms is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, and (b) £100.
Important: Mend is an assistive communication tool. We are not responsible for the substance of your relationships, the conduct of the people you communicate with, or any decisions you make. The AI features are not professional advice.
16. Indemnity (business users)
If you use the Service other than as a consumer, you agree to indemnify us against claims, losses, and costs arising from your breach of these Terms or your misuse of the Service.
17. Suspension and termination
- You may stop using the Service at any time.
- We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or any person.
- Sections that by their nature should survive termination (including sections 7, 11, 14, 15, 16, and 19) continue to apply.
18. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you. Continued use of the Service after changes take effect means you accept the updated Terms.
19. Governing law and jurisdiction
These Terms and any dispute arising from them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident elsewhere in the UK you may bring proceedings in your home jurisdiction.
20. General
- If any provision is found unenforceable, the rest continues in force.
- We may transfer our rights and obligations under these Terms to another organisation; this will not affect your rights.
- These Terms, with the Privacy Policy, are the entire agreement between you and us regarding the Service.
